Acceptance
By installing or using Tokematic, you agree to these terms. If you do not agree, do not use it.
Eligibility
You must be at least 16 years old to use Tokematic.
The service
Tokematic reads your AI subscription status and usage from providers you use, and warns you as you approach your limits. By default, the desktop app reads only the local command-line sign-in files in your home folder, API keys you add in Settings and accounts you sign in to directly inside the app; if you turn on Use browser and app sign-ins or Use Safari sign-ins in Settings, it also reads browser cookie stores, the Kimi desktop app store and authorized Keychain items. It signs in to your providers as you, and your provider credentials do not leave your device in normal operation. The app also syncs your usage data across your devices, your Solo account and, if you choose, your organization.
Some of these checks run against your provider account itself. To tell whether a subscription is past due, for example, the app may create a tiny throwaway request on your provider account, read what comes back and delete it. A check like this can incur a very small amount of token usage or metered cost on that account. The app keeps any such usage to the minimum the check needs, and the same applies to future status checks and similar operations of this kind.
Sync is on by default. You can turn it off in Settings. Browser and desktop-app credential discovery is off by default, and you can turn it on or off at any time in General Settings or use local CLI dotfiles, manual API keys and in-app sign-ins instead. You also choose between Server-assisted key custody (the default, allowing email password resets and server-side status reports) and Total lockdown (where our server deletes its wrapped backup copy of your encryption key after you verify a recovery code).
Your responsibilities and the provider warranty
You are responsible for your own credentials and for your use of your provider accounts.
You warrant that you have the right to access your provider accounts and to use your credentials, and that your use of Tokematic to read your own usage does not violate your providers' terms of service. You indemnify Sixty AI, Inc. against any claim by a provider arising from your use of your credentials through Tokematic, to the fullest extent permitted by law.
Acceptable use
Do not use Tokematic to access accounts you are not authorized to access. Do not resell or attempt to disrupt the service. Use it for your own accounts and, if you run an organization, for accounts your organization and its members authorize.
Do not reverse engineer the apps, the command line tools, the self-hosted server or the service. This includes decompiling, disassembling, instrumenting or extracting pseudocode, structure or behavior from any of them, whether you do it yourself, with automated tools or by directing an AI agent or other person to do it, and it includes supplying the software or its outputs to such a tool or agent for that purpose. Do not build, or direct anyone to build, a competing product from anything obtained this way. Do not remove, alter or defeat any license, check-in, build identification or watermark in the software. These restrictions do not apply where applicable law gives you a right that cannot be waived by contract, such as decompilation strictly for interoperability under Article 6 of Directive 2009/24/EC, and only to the extent of that right. Breach of this section ends your right to use the service.
Privacy and organization data contracts
Our handling of your information is described in the Privacy Policy above, which is part of these terms.
When you create or join an organization, the organization's versioned data contract governs what categories of data (Facts, Brief, Content or Transcripts) and what readability mode (Encrypted or Readable) the organization requests. Joining an organization does not transfer ownership of your personal projects or force your device to publish data. A raise in an organization's data contract requires each member's consent before taking effect for that member's devices, unless the member has enabled automatic approval. Publishing a session to a public repository log requires both the organization's setting and the contributing member's consent, and either the member or an organization admin may remove a session's summary or public log content at any time.
Paid plans, trials and refunds
Free Solo and single-member organizations. Personal Solo spaces and single-member organizations are free and require no payment card or trial.
Free Pro trial. Inviting a second person to an organization starts Tokematic Pro with one 14-day free trial for two seats, with no payment card required to start the trial.
Pricing. After the trial, multi-member organizations require an active paid plan, billed per active human member (including owners and read-only members; devices and machines do not count as seats):
- Tokematic Pro: $4 per active member per month, or $40 per active member per year when paid in advance (20% off), before applicable taxes.
- Enterprise: $21 per active member per month, or $192 per active member per year when paid in advance (20% off), before applicable taxes.
Seat pool, member turnover and renewal. Seats are a pool for the organization during the billing period. When a member leaves mid-month or mid-year, no mid-period refund or credit is issued; that paid seat remains open for the rest of the period so a new member can fill it at no extra charge. Only when active members exceed paid seats does the subscription increase seats immediately (pro-rated for the current billing period). Reducing seats down to the active member count takes effect at the next renewal date, and reducing to a single human member or zero seats cancels the next renewal. Every manual seat change shows a quote with the amount and effective date before you confirm.
Closure refunds. Refunds are issued only when you ask to close your organization or account. If you paid for an annual plan in advance and ask to close before the billing year ends, we refund the unused balance pro-rated by the remaining days in the billing year (unused_days / days_in_year, using 365 days or 366 days in a leap year).
Unpaid periods and organization-wide back-pay. Coverage is organization-wide per month, never per user. If a trial expires or a renewal payment fails while an organization has two or more members, shared Pro access for that period is suspended until payment is completed or the organization returns to a single member. When an organization returns after an unpaid gap (or a member uploads prior history from an unpaid period), the organization can either leave the unpaid period blank in the shared team view or back-pay for the organization to include that period; selective per-user back-charging is not offered. A failed Pro payment never converts your personal Solo space into a paid plan or deletes local data on your computer.
Payment processing. Payments and invoices are processed by Stripe. We do not collect or store full card numbers.
Disclaimer of warranties
Tokematic is provided as is. We do not warrant that it will be uninterrupted or error-free, or that it will work with every provider forever. Providers can change their services and block access at any time. You rely on it at your own risk.
Limitation of liability
To the fullest extent permitted by law, Sixty AI, Inc. is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, arising from your use of Tokematic. Our aggregate liability is limited to the amount you paid us in the 12 months before the claim, or one hundred US dollars, whichever is greater.
Governing law and disputes
These terms are governed by the laws of Washington State, USA, without regard to conflict of laws. Any dispute is resolved by binding arbitration in Washington State, on an individual basis. You waive any right to a class action or class arbitration.
Termination and deletion
You can stop using Tokematic at any time. You can delete your account in the web dashboard or by requesting it at privacy@tokematic.app, or by turning off sync and removing the app. We handle deletion as described in the Privacy Policy. If you close an organization on a prepaid annual plan, we issue a pro-rated refund based on the remaining days in the billing year as described in section 7. We can suspend or stop the service if you breach these terms or if we stop operating.
We can also suspend, limit or end your use of the service at our discretion where we decide that doing so is needed to keep the service viable and available to other users. This includes use that creates excessive load on our systems or costs out of proportion to the service, such as hosting, sync or storage costs or the token and inference costs we carry on your behalf, where continuing to serve that use is not sustainable for the business. Where we reasonably can, we tell you first and give you a chance to reduce the use or export your data. Ending the service under this section does not change how we handle deletion under the Privacy Policy, and if we end a prepaid subscription under this paragraph without a breach by you, we refund the unused prepaid period pro-rated by the remaining days.
Changes to these terms
We can change these terms when we change the service. We post the new version and note the date. If a change is material, we notify you. Continued use after a material change means you accept the new terms.
